Acceptance of Terms
These Terms of Service (“Terms”) govern access to and use of the RevvGPS website, software platforms (including TruePoint360), mobile applications (including TruePoint GPS), hardware devices, connectivity services, APIs, and related services (collectively, the “Services”) provided by RevvGPS (“Company,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

Nature of Services
RevvGPS provides vehicle monitoring and dealership infrastructure tools designed to assist with asset visibility, operational reporting, and related management functions. The Services may include hardware components, telecommunications connectivity, software dashboards, and mobile interfaces. The Services are informational tools only. RevvGPS does not provide insurance services, security services, emergency response services, law enforcement services, or theft prevention guarantees.

No Guarantee of Recovery or Performance
RevvGPS does not guarantee the prevention of theft, recovery of any vehicle or asset, uninterrupted tracking, continuous connectivity, or uninterrupted access to the Services. Performance of the Services depends on factors beyond the control of RevvGPS, including cellular carrier availability, satellite coverage, environmental conditions, signal interference, installation quality, power conditions, user configuration, and third-party infrastructure. All Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.

Hardware and Connectivity Limitations
Hardware devices rely on external telecommunications infrastructure, satellite positioning systems, and power sources. Battery life estimates are projections only and may vary based on usage conditions and environmental factors. RevvGPS shall not be responsible for device non-performance, delayed transmission, signal loss, communication failure, or degraded performance resulting from carrier outages, satellite disruption, environmental obstruction, tampering, improper installation, user error, or any circumstance beyond RevvGPS’s reasonable control.

No Emergency Monitoring Obligation
RevvGPS does not operate as an emergency monitoring service or public safety agency. Any references to dispatch coordination or recovery assistance do not create a contractual obligation for real-time monitoring, emergency response, or law enforcement engagement. Users remain solely responsible for contacting appropriate authorities in the event of theft or emergency.

User Responsibilities
Users are responsible for proper installation and use of hardware, maintaining secure account credentials, managing user permissions within dashboards, ensuring compliance with applicable laws, and verifying representations made to customers or third parties. Users shall not represent the Services as guaranteed theft recovery, guaranteed prevention, or guaranteed uninterrupted tracking.

Account Security
Access to dashboard or mobile services may require account credentials. Users are solely responsible for maintaining the confidentiality of login information and for all activity conducted under their accounts. RevvGPS is not liable for losses arising from unauthorized access caused by user negligence, credential sharing, or failure to maintain reasonable security practices. RevvGPS reserves the right to suspend or terminate access for misuse, security risk, non-payment, or violation of these Terms.

Limitation of Liability
To the fullest extent permitted by law, RevvGPS shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of business opportunity, loss of inventory, business interruption, or loss resulting from theft or misuse of a vehicle or asset. In no event shall RevvGPS’s total aggregate liability exceed the amount paid by the claimant to RevvGPS in the twelve (12) months preceding the event giving rise to the claim. If no such payment was made, liability shall not exceed five hundred dollars ($500).

Indemnification
You agree to indemnify, defend, and hold harmless RevvGPS and its officers, directors, employees, affiliates, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses arising from misuse of the Services, violation of applicable laws, unauthorized marketing claims, improper installation or configuration, or breach of these Terms.

Intellectual Property
All software, firmware, platform interfaces, trademarks, logos, content, documentation, and related materials are the exclusive property of RevvGPS or its licensors. Unauthorized copying, modification, reverse engineering, or distribution is prohibited.

Modification or Discontinuation of Services
RevvGPS reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without liability, including hardware compatibility, connectivity providers, software features, or pricing structures.

Force Majeure
RevvGPS shall not be liable for failure or delay in performance due to events beyond its reasonable control, including natural disasters, acts of government, war, labor disputes, carrier outages, satellite disruptions, supply chain interruptions, or other force majeure events.

Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of [Insert State], without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in [Insert County, State]. Users waive the right to participate in class actions or jury trials.

Relationship to Separate Agreements
If you have entered into a separate written agreement with RevvGPS, including a dealer or partner agreement, that agreement shall control in the event of any conflict with these Terms.

Changes to These Terms
RevvGPS may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the revised Terms.
